Теоретичні основи здійснення процесів злиття і поглинання у банківському секторі

Abstract

У науковій статті досліджено економічну сутність злиття і поглинання банківських установ та наведено особливості термінології. Розглянуто та обґрунтовано різні теоретичні підходи до трактування понять «злиття» та «поглинання». Особливу увагу присвячено розгляду особливостей застосування найпоширеніших термінів для ідентифікації злиття і поглинання в банківському секторі. В рамках дослідження теоретичних основ і практичного аспекту історико-економічного розвитку злиттів і поглинань у банківському секторі розроблена класифікація угод ЗіП. Визначено стратегічні аспекти процесів злиття і поглинання та основні мотиви, якими керуються учасники даних процесів. The aim of the article is the research of the theoretical aspects of mergers and acquisitions in the banking sector, the justification terminology of features defining the mechanism of mergers and acquisitions, the main motives that participants used in these processes, as well as the isolation of main classifications. In the course of scientific research the following methods were used: historical, empirical, induction, deduction, analysis, synthesis, comparison, systematization, formalization, specification, and summarization. Results of the study are as follows: the economic substance of mergers and acquisitions of banks and terminology are featured; considered and substantiated different theoretical approaches to the interpretation of the concepts of "mergers" and "acquisitions"; special attention is devoted to consideration of application characteristics to identify the most common terms of mergers and acquisitions in the banking sector; - the classification of M&A transactions in the banking sector is developed; - the mechanism of «due diligence» procedure in the implementation of mergers and acquisitions is investigated; - the strategic aspects and main motives of mergers and acquisitions are determined. Scientific novelty of article consists in further research in this area, namely the analysis of world market trends of mergers and acquisitions, study of international experience, determination of advantages and disadvantages of international practice agreements of mergers and acquisitions in the banking sector. The practical significance of the article lies in the possibility of using the results of own research, represented in the article. Modern problems and prospects of mergers and acquisitions gained practical importance; there is a need for comprehensive study and analysis of the consolidation as an independent economic category.
