Реорганізація банків як напрямок реформування банківської системи України

Abstract

Метою статті є обґрунтування реорганізації банків шляхом їх злиття, поглинання та приєднання як найбільш дієвих інструментів реформування банківської системи України. Методика дослідження. Теоретичною та методологічною основою дослідження є основні положення сучасної економічної теорії щодо реорганізації банків, економічного аналізу, праці вітчизняних і зарубіжних учених в сфері злиття та поглинання банків. Зокрема, у статті при дослідженні ефективності реорганізації банків використовувалися методи індексний, експертних оцінок і нормативний. Розробка рекомендацій щодо вдосконалення механізмів реорганізації, підвищення ліквідності та платоспроможності банків здійснювалася з використанням методів систематизації й узагальнення, багатофакторного аналізу. При обґрунтуванні конкретних напрямків оздоровлення банків та розробці рекомендацій щодо вдосконалення процесів злиття і поглинання банків використано методи вибірки статистичних даних, групувань та системно-структурного аналізу. Наукова новизна отриманих результатів полягає у наступному: - дістало подальшого розвитку дослідження методів злиття, поглинання і приєднання залежно від організаційно-правового типу власності банківських установ, що реорганізуються, зокрема публічних акціонерних товариств; - удосконалено основні методологічні принципи реорганізації банків шляхом злиття, приєднання і поглинання. Практичне значення. Проведене автором узагальнення вітчизняного досвіду реорганізації банків, понять щодо злиття, приєднання поглинання банків, основних методологічних принципів реорганізації банків можуть бути використані при подальшому вдосконаленні нормативно-правової бази щодо банківської діяльності. Основні положення та висновки, отримані в ході дослідження, можуть бути використані для підвищення ефективності операцій злиття, приєднання і поглинання в банківському секторі України. Пропозиції щодо вдосконалення процесів злиття, приєднання і поглинання банків можуть бути використані банками при вдосконаленні власних систем стратегічного та оперативного управління. Aim of the article is to justify the reorganization of banks through mergers, acquisitions and joining as the most effective tool to reform the banking system of Ukraine. Research Methodology. Theoretical and methodological basis of research is the basic provisions of modern economic theory on the reorganization of banks, economic analysis, works of local and foreign scientists in the field of mergers and acquisitions of banks. Methods of study. The theoretical and methodological basis of research is the basic provisions of modern economic theory concerning reorganization of banks, of economic analysis, works of local and foreign scientists in sphere of mergers and acquisitions of banks. In particular, in article during the study of the effectiveness of reorganization banks were used index method , methods of expert assessments and a normative. Developing recommendations concerning improvement of of mechanisms of reorganization, increase liquidity and solvency of banks was carried out using the methods of systematization and generalization, of multivariate analysis. For justification of specific directions of rehabilitation of banks and development of recommendations concerning improvement of mergers and acquisitions of banks were used methods of statistical sampling, grouping and system-structural analysis. Scientific novelty of the results consists in the following: - obtained the further development the research of methods mergers, acquisitions and joining depending on the legal nature of the ownership of banking institutions, which are reorganized, particular of joint stock companies; - improved basic methodological principles of reorganization of banks by merger, consolidation and acquisitions. Practical meaning. Conducted by the author generalization national experience reorganization of banks, concepts merger, takeover, acquisitions of banks, of basic methodological principles of reorganization of banks can be used for further improvement of the legal framework for banking activities. Basic provisions and conclusions obtained in the study can be used to improve the operations of merger, consolidation and acquisitions in the banking sector of Ukraine. Proposals to improve the processes of merger, acquisition and takeover of banks can be used by banks in improving their own systems of strategic and operational management.
