Засновницький договір у праві України та країн ЄС: порівняльно-правова характеристика

Abstract

Стаття присвячена порівняльно-правовому дослідженню регулювання інституту засновницького договору в країнах Європейського Союзу. Розглянуто питання визначення правової природи та місця засновницького договору у наднаціональному законодавстві ЄС та внутрішньому законодавстві країн-членів ЄC.

Автором проаналізовано досвід застосування правової конструкції засновницького договору у Великій Британії, Франції, Німеччині, Польщі, Чехії, Словаччині, Естонії та Латвії.

У статті аргументовано позицію про те, що гармонізація національного законодавства із законодавством країн ЄC має здійснюватися через призму особливостей національної правової традиції, економіки, правової свідомості суспільства та інших факторів, що впливають на формування правової системи в цілому. The article is devoted to a comparative legal study of the regulation of the institution of the founding agreement in the countries of the EU. The issue of determining the legal nature and place of the founding agreement in EU legislation was considered. The internal legislation of the member states of the European Union regarding the founding agreement was not left out of the author's attention.

The author analyzed the experience of applying the legal construction of the founding agreement in Great Britain, France, Germany, Poland, the Czech Republic, Slovakia, Estonia and Latvia.

Emphasis is placed on the fact that there are two types of founding agreements in Ukraine. These are founding agreements, which are founding documents of legal entities (founding agreements of general partnerships and limited partnerships) and founding agreements of limited and additional liability companies, joint-stock companies, which are not founding documents of business entities.

The position on the effectiveness of the domestic legal structure of the founding agreement is defended. It is emphasized that the founding agreement is a non-establishment document that has long been known in the national legal system, and the institute under study shows its effectiveness. A conclusion was drawn on the impracticality of canceling the founding agreements for limited liability companies, companies with additional liability and joint-stock companies.

The article argues the position that the harmonization of national legislation with the legislation of the countries of the European Union should be carried out through the prism of the peculiarities of the national legal tradition, the economy, the legal consciousness of society and other factors that influence the formation of the legal system as a whole.

It has been proven that the founding agreement is fundamentally important in the process of creation and activity of legal entities. The author emphasized the need for further subject research of this institute.
